WSHAsia Events/Courses – Terms and Conditions for Participants

By registering for or attending any paid or free training course, seminar, workshop, conference, webinar, or other event (“Event”) through the WSHAsia platform (“WSHAsia”, “we”, “us”, or “our”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not proceed with registration. These terms apply to all participants, whether you are an individual professional, a corporate client, or a representative of a government body, and whether you attend online or in-person events.
1. Scope of Services and Roles
1.1 WSHAsia Platform: WSHAsia operates an online Events/Courses Marketplace that partners with industry-leading training providers worldwide. Through our platform, multiple third-party vendors (“Vendors”) list their Occupational Safety, Health and Environment (OSHE) training events and courses, and we facilitate seamless enrollment and secure payment processing. We also organize our own WSHAsia-run events. These Terms govern your participation in all such Events listed on our platform.
1.2 Third-Party Vendor Events: For Events organized by a Vendor (not by WSHAsia itself), WSHAsia acts as an intermediary to facilitate your registration and payment on behalf of that Vendor. The Vendor remains solely responsible for the quality, content, and conduct of the Event. Your contract for attending the Event’s training or content is between you and the Vendor, and the Vendor is responsible for delivering the Event as described. WSHAsia does not guarantee or make warranties about Vendor-provided content or outcomes, and disclaims liability for any injury, loss, or damage you may suffer in connection with a Vendor’s Event. However, we will reasonably assist by facilitating communications or customer service with the Vendor if issues arise.
1.3 WSHAsia-Organized Events: For Events organized directly by WSHAsia, WSHAsia is responsible for the content and delivery of the Event. Even so, all limitations of liability and disclaimers in these Terms (see Section 9) apply equally to WSHAsia-run events and your participation in them.
1.4 Eligibility: By registering for an Event, you represent that you are at least 18 years of age (or the age of legal majority in your jurisdiction) or, if you are registering on behalf of an organization or minor, that you have the authority to bind that entity or have appropriate parental/guardian consent. You also agree to provide truthful, accurate, and complete information during the registration process. Providing false or misleading information may result in refusal or cancellation of your registration, at our discretion.
1.5 Accounts and Guest Checkout: You may register for Events either by creating a WSHAsia user account or by using a guest checkout option. Creating an account is optional for participants – it can streamline future registrations and allow access to your dashboard of courses, but it is not mandatory. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you register as a guest, you will still need to provide the necessary personal information to process the registration and ticket purchase. Whether as a guest or account-holder, you must ensure all information provided is correct and updated. Participants may create organizational accounts to manage multiple enrollments (e.g. a company enrolling several employees); if you register on behalf of others, you represent that you have obtained consent from those individuals to provide their personal data and to agree to these Terms on their behalf.
1.6 Acceptance of Registration: All Event registrations are subject to acceptance by WSHAsia (for WSHAsia-run events) or by the Vendor (for third-party events). We reserve the right to refuse or cancel any registration at our sole discretion, even after payment, if, for example, an Event is full, if there are errors in pricing, or if we suspect fraudulent or unauthorized activity. No contract for an Event is formed until we confirm your registration (typically by email confirmation). If a registration cannot be accepted, you will be entitled to a refund of the registration fee you paid, net of any Stripe processing charges, bank transfer fees, and exchange rate differences.
2. Fees, Payment, and Taxes
2.1 Event Fees: The fees for each Event (“Fees”) are as listed on the WSHAsia platform for that specific course or event. Fees may vary widely (typically ranging approximately from SGD 80 up to SGD 500, depending on the Event offering) and are quoted in Singapore Dollars (SGD) by default. Unless stated otherwise, all prices are inclusive of any prevailing Singapore Goods and Services Tax (GST) or other applicable taxes. If you are purchasing from outside Singapore, no additional tax may be charged by us, but you are responsible for any local taxes or import duties (if any) in your jurisdiction.
2.2 Currency and Exchange Rates: All transactions will be processed in SGD. If you use an international payment method, your bank or card provider might charge currency conversion fees or use a different exchange rate; WSHAsia is not responsible for any differences caused by currency conversion or bank charges. The amount charged in your local currency (if viewed in another currency) is an estimate; the final amount depends on your financial institution’s rate.
2.3 Payment Methods: WSHAsia uses a secure third-party payment gateway (such as Stripe) for processing online payments. We accept major credit/debit cards and any other payment methods indicated at checkout. Online Payment Security: All payment information is encrypted via Secure Socket Layer (SSL) or similar technology during transmission to protect your data. WSHAsia does not store your full credit card details on our servers. You agree that any loss or damage incurred from making payment (e.g. due to fraudulent use of your card) shall be borne by you; WSHAsia will not be liable for any such loss, to the fullest extent permitted by law. If you detect any fraudulent charges on your card, please contact your card issuer immediately.
2.4 Payment Timing: For Events that require upfront payment, the Fee must be paid in full at the time of registration (unless a specific payment deadline is stated). No payment, no entry: We reserve the right to refuse your participation in any Event if the Fee has not been received by the start of the Event or by the stated due date. Your seat in a paid Event is only confirmed after full payment is received. If you encounter issues with online payment, please contact WSHAsia support promptly for assistance.
2.5 Invoices and Receipts: Upon successful registration and payment, WSHAsia will issue a confirmation email and/or receipt to the participant (or the billing contact provided). This serves as proof of purchase. If you need a formal invoice for your organization, you may request one from us. All billing will be in SGD and will reflect any taxes as applicable.
2.6 Pricing Accuracy: WSHAsia strives to ensure that all Event details and prices listed are accurate and up-to-date. However, errors or omissions (e.g., typographical errors in Fees or event details) may occur. We reserve the right to correct any pricing errors and to cancel any registrations affected by such errors. If a pricing error is discovered after your payment, we will contact you as soon as possible with the correct price. You will have the option to reconfirm your order at the correct price or cancel for a full refund. Events and Fees are subject to change without prior notice until you have completed a registration.
2.7 Discounts and Promotions: If you have a valid discount code, promotional offer, or membership benefit (such as WSHAsia Member discounted rates), these must be applied at the time of registration. Only one promotion or discount can typically be applied per registration (unless stated otherwise). All promotions are subject to their own terms and may be modified or withdrawn at any time. Misuse of discount codes (including sharing of one-time use codes or unauthorized codes) can result in cancellation of the registration or adjustment of the Fee.
3. Event Attendance and Participant Conduct
3.1 Event Logistics: After registration, you will receive details about the Event such as venue location (for physical events) or access links/passwords (for online events), schedule, and any preparatory instructions. For online Events, you are responsible for ensuring you have the required hardware, software, and internet connectivity to attend the webinar or e-learning session. For in-person Events, you are responsible for your own travel, accommodation, and personal arrangements unless expressly provided otherwise. WSHAsia is not liable for any travel or accommodation costs you incur to attend an Event, even if the Event is canceled or rescheduled (see Section 5 on Cancellations).
3.2 Admittance: You may be required to show identification (and your ticket or registration confirmation) to be admitted to an in-person Event. WSHAsia or the Event organizer reserves the right to deny entry or remove any participant who cannot provide proof of registration, or who is behaving inappropriately (as described below). Only the registered participant (or approved substitute, see clause 5.4) is entitled to attend; registrations may not be transferred or shared without permission.
3.3 Code of Conduct: We expect all participants to behave professionally and respectfully toward others during Events. This includes complying with any rules or instructions given by WSHAsia staff or the Vendor’s instructors, especially in relation to safety protocols for any workplace safety training. Harassment, discrimination, disruptive behavior, or illegal acts will not be tolerated. WSHAsia (or the Vendor/venue management) reserves the right to remove or exclude any attendee who violates this Code of Conduct or whose behavior interferes with the orderly conduct of the Event. No refund will be provided in such cases of removal for misconduct.
3.4 Use of Materials and Intellectual Property: All materials provided during an Event (such as presentation slides, handouts, e-learning content, software, etc.) and any recordings of the Event are the intellectual property of WSHAsia or the Vendor or the respective content owners. These materials are provided for your personal educational use only. You must not reproduce, distribute, resell, or publish these materials (whether digitally or in print) to any third party without explicit written permission. Similarly, you may not record (audio or video or screen-capture) any part of an Event without prior permission. Unauthorized use of Event content may violate copyright or confidentiality and could result in legal action.
3.5 Photography, Recording, and Media: By attending an Event, you consent to WSHAsia and its partners photographing, screenshotting, or recording (audio and/or video) of the Event which may incidentally include your image, voice, or likeness. WSHAsia may use this media for promotional and archival purposes (e.g., using an event photo in a newsletter or posting a recording for participants). We will not sell identifiable personal images of you to third parties without additional consent. If you do not wish to be photographed or recorded, please inform us in advance and we will make reasonable efforts to accommodate, but we cannot guarantee that you will not appear in some event media. Conversely, any personal data captured in such media will be handled in accordance with our Privacy Policy and applicable law.
3.6 Safety and Health Disclaimer: You understand that some Events, particularly those related to workplace safety training, may involve physical activities, demonstrations, or on-site facility visits. You agree to follow all safety instructions provided by the organizers or instructors. You participate at your own risk, and must use your own judgment and caution. WSHAsia and the Vendors disclaim responsibility for any personal injury or property damage that may occur during the course of an Event, except to the extent caused by our gross negligence (also see Section 9 on Liability).
4. Certificates and Continuing Education Credits
4.1 Certificates of Completion: Some Events may provide participants with a certificate of completion or attendance, issued after the Event concludes, provided that you have met the requirements (for example, attending the full course or passing any required assessments, if applicable). The certificate will typically include your name, the Event name, date, and (if relevant) the number of training hours or credits.
4.2 Issuing Authority: For Events organized by third-party Vendors, the Vendor is responsible for preparing and issuing your certificate. WSHAsia will facilitate the process (e.g., by providing the Vendor with your name as registered) but does not itself issue those certificates. For Events organized by WSHAsia, WSHAsia will issue the certificates directly. In either case, certificates are usually distributed digitally (via email as a PDF) unless stated otherwise. We strive to ensure you receive your certificate in a timely manner (typically within a few days to a couple of weeks after the Event). If you have not received your certificate within the promised timeframe, please contact us or the Vendor as appropriate.
4.3 Continuing Education Credits: Some Events are accredited or approved for continuing education units/credits (such as Professional Development Units, Continuing Education Training hours, Safety Development Units, or other industry-specific credits). If an Event is advertised as offering such credits, it is your responsibility to ensure you meet the criteria to earn them (for example, attending the entire session, signing in and out, or completing an evaluation form). WSHAsia or the Vendor will provide the necessary documentation (e.g., the certificate or reference number) for you to claim the credits with the relevant professional body, but we do not guarantee that any particular organization will accept the credit. (For instance, if a course offers PDU credits approved by a Singapore authority, an overseas body might not recognize them.) Always verify with your relevant licensing or certification authority if you are taking a course for credit. WSHAsia is not responsible for any participant’s inability to apply or use the continuing education credits outside of providing accurate certificates.
4.4 Verification of Attendance: We and the Vendors reserve the right to verify your attendance and participation before issuing certificates or reporting any credits. This may include roll calls, sign-in sheets, online login records, or post-event assessments. If it is found that a participant did not attend the full course or meet the requirements, a certificate may be withheld or adjusted (e.g., certificate of partial attendance). No refunds will be given in such cases since the obligation to attend lies with the participant.
4.5 Misuse of Certificates: The certificate issued is intended for the participant’s personal use to demonstrate their completion of the Event. It must not be altered or falsified. Each certificate is only valid for the person named; transferring or sharing certificates is prohibited. WSHAsia and Vendors reserve the right to verify the authenticity of any certificate issued and to cooperate with third-party inquiries regarding verification of attendance.
5. Cancellation, Transfers, and Refund Policy
5.1 Cancellation or Postponement by WSHAsia or Vendor: WSHAsia or the Vendor reserve the right to cancel, postpone, or reschedule an Event at our sole discretion. This can occur due to insufficient enrollment, instructor emergencies, venue issues, public health concerns, or any other reasons. We will endeavor to give you as much advance notice as possible in such cases. If an Event is canceled by WSHAsia (and not rescheduled), you will be entitled to a refund of the registration fee you paid, net of any Stripe processing charges, bank transfer fees, and exchange rate differences. If an Event is postponed or rescheduled, your registration will be transferred to the new date; if you cannot attend on the new date, no refund will be provided. Beyond the registration fee, WSHAsia shall not be liable for any other costs, losses or damages you may incur (for example, travel or accommodation expenses) due to the cancellation.
5.2 Vendor Cancellations: In the case of third-party Vendor-organized Events, the Vendor may cancel or significantly change an Event (including content, schedule, or instructor) at their discretion. WSHAsia is not liable for such modifications or cancellations by the Vendor. We will, however, work with the Vendor to ensure that participants are notified and that appropriate refunds or rescheduling options are offered. In the case of third-party Vendor-organized Events, refunds (if any) are solely subject to the Vendor’s policy. WSHAsia is not responsible for issuing or guaranteeing any refund in such cases and will only facilitate communication with the Vendor. Please note that by registering for a Vendor’s Event, you agree that any recourse for cancellation (beyond refund of fees) lies with the Vendor and not with WSHAsia. Eventually if there is any refund agreed upon, you will be entitled to a refund of the registration fee you paid, net of any Stripe processing charges, bank transfer fees, and exchange rate differences.
5.3 Participant Cancellations (Refunds by WSHAsia): If you wish to cancel your registration, no refund will be provided for participant-initiated cancellations. You may request to transfer your registration to another eligible participant, subject to approval by WSHAsia (see Section 5.5). Cancellations will typically not be eligible for a refund (except in cases of medical or family emergencies, at WSHAsia’s discretion with supporting documentation). We will consider refund requests on a case-by-case basis but are not obligated to grant a refund if the cancellation window has passed. Eventually if there is any refund agreed upon, you will be entitled to a refund of the registration fee you paid, net of any Stripe processing charges, bank transfer fees, and exchange rate differences.
5.4 Participant Cancellations (Vendor Events): If you cancel your registration for a third-party Vendor Event, no refund will be provided for participant-initiated cancellations. Any refund (if available) will be solely at the discretion of the Vendor, and you must contact the Vendor directly. WSHAsia will not issue refunds on behalf of the Vendor. We will assist you in communicating your request to the Vendor, but we do not guarantee any refund unless the Vendor approves it. If the Vendor authorizes a refund, and since payment was processed via our platform, WSHAsia will process the refund to you once we have confirmation from the Vendor.
5.5 Transfer of Ticket/Registration: If you are unable to attend an Event, substitution of an attendee is possible in some cases. For WSHAsia-organized events, you may request to transfer your registration to another person by contacting us at least 2 business days before the Event. The substitute attendee will be bound by these same Terms and must meet any prerequisites for the course. We reserve the right to approve or deny substitutions (for example, if tickets are personalized or if certificates have already been issued). For Vendor events, any substitution requests will be subject to the Vendor’s approval as well. No unofficial attendee swaps are allowed – identification at the event must match our registration records, otherwise the new attendee may be refused entry.
5.6 How Refunds Are Issued: In the rare circumstances where WSHAsia is responsible for canceling an Event and issues a refund, the refund will be made to the original payment method, net of Stripe processing charges, bank transfer fees, and any exchange rate differences. If your account has been closed or is unavailable, you must promptly inform us to arrange an alternative method. We aim to process refunds promptly, but it can take up to 14 business days or longer for the amount to reflect in your account, depending on banking processes.
5.7 No-Shows: If you do not attend an Event without canceling (a “no-show”), you will not be entitled to any refund. For multi-day events or courses with multiple sessions, failure to attend one or more sessions does not entitle you to a partial refund. It is your responsibility to attend the Event to get the full value.
5.8 Event Changes: The organizers reserve the right to make minor changes to an Event’s content, schedule, speakers, or venue. Such changes will not normally entitle participants to a refund, as long as the overall Event is substantively delivered. In the rare case where an Event must transition from an in-person format to an online format (or vice versa) due to circumstances beyond our control (e.g., pandemic restrictions or venue issues), we will notify you of the change. Your registration will remain valid for the changed format. If you are unwilling or unable to attend in the changed format, no refund will be provided. At WSHAsia’s discretion, we may offer you a credit toward a future Event as a courtesy, but this is not guaranteed.
6. Personal Data Protection and Privacy
6.1 Compliance with PDPA: WSHAsia is committed to protecting your personal data in compliance with Singapore’s Personal Data Protection Act (PDPA). We will handle your data in accordance with these Terms and our Privacy Policy, and we will comply with the PDPA to the extent it applies to us.
6.2 Collection and Use of Personal Data: By registering for an Event, you agree that WSHAsia and/or the Vendor will collect and use the personal information you provide for purposes of organizing and administering the Event. This information may include, for example, your name, contact details (email, phone number), job title and organization, and any other details requested during registration. We use this data to process your registration, send you updates or logistical information about the Event, verify attendance, issue certificates, and, if needed, to notify you of any changes or provide post-event follow-up (such as feedback surveys). If you do not provide the required personal data, we may be unable to complete your registration or allow you to attend the Event.
6.3 Sharing of Data with Vendors or Partners: If you sign up for an Event that is organized by a third-party Vendor or co-hosted or sponsored with a partner, you acknowledge and consent that WSHAsia may share your provided registration details with the respective Vendor or partner strictly for purposes related to that Event and related communications. They may use this information to manage the attendee list, facilitate entry (e.g., name badges), distribute course materials, and issue certificates or credits. We require Vendors to handle your data in accordance with PDPA and to use it only for the Event-related purposes unless you separately consent to other uses. However, WSHAsia is not responsible for the independent data practices of Vendors once the data is transferred, as the Vendor becomes a data controller for its copy of the data. Please refer to the Vendor’s privacy policy if needed.
6.4 Marketing Communications: WSHAsia and/or the Event Vendor may ask for your consent to send you additional information about future courses, events, or related services. For instance, on our registration form you might see a checkbox to subscribe to newsletters or to receive updates about upcoming training opportunities. We will not send you promotional emails unless you have opted-in. If you do opt-in, you may occasionally receive newsletters or announcements of upcoming events and promotions. You can withdraw your consent at any time by clicking an “unsubscribe” link in those emails or contacting us directly. Your decision to opt out of marketing will not affect your registration or the services you receive for any Event.
6.5 Data Retention: We will retain your personal data only as long as necessary for the purposes stated. For Event registration, this generally means we keep your data through the duration of the Event and for a reasonable period afterward, in order to handle any follow-up matters (certificates issuance, feedback, repeat events, etc.) or as required by law (for instance, financial records of transactions). After that period, data that is no longer needed will be deleted or anonymized. If you have an account with us, your data may be retained until you close the account, except for information we must keep for legal compliance or legitimate business purposes.
6.6 Rights of Individuals: If PDPA applies, you have rights under the PDPA to access and correct your personal data that we hold, and to withdraw consent to the extent allowed by law. Please refer to our full Privacy Policy for detailed information on how to exercise these rights. You may contact our Data Protection Officer Raymond Wat at raymond.wat@wshasia.com or use the contact information in the Privacy Centre for any data protection queries or requests.
6.7 Privacy Policy: These Terms should be read in conjunction with WSHAsia’s Privacy Policy (and Privacy Notices) which provides further details on our data handling practices. Our Privacy Policy covers topics like what data we collect, how we collect it (e.g., via our website, cookies, etc.), how we use and store it, and how we protect it. It also outlines how to contact us or the authorities in case of any privacy issue. By agreeing to these Terms and registering for an Event, you also acknowledge our Privacy Policy. If there is any inconsistency between these Terms and the Privacy Policy regarding personal data, these Terms will govern matters specifically related to Event registration, while the Privacy Policy will govern more general data processing aspects.
6.8 Data Security: WSHAsia implements reasonable security measures (administrative, physical, and technical) to protect your personal data against unauthorized access, disclosure, or alteration. While no system is 100% secure, we follow industry best practices to safeguard information collected through our platform.
7. Intellectual Property and Content Use
7.1 WSHAsia Site Content: The content on the WSHAsia website (including the Events/Courses Marketplace and any subdomains) – such as text, graphics, logos, images, and software – is owned by or licensed to WSHAsia and protected by copyright, trademark, and other intellectual property laws. No exploitation for commercial purposes: You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website or its content for commercial purposes without express written permission. This includes any use of event listings, descriptions, or materials to create a competing service or to mislead consumers.
7.2 Trademarks: “WSHAsia” and our logos, as well as the names of events or programs we organize, are trademarks of World of Safety & Health Asia. Vendors’ names and logos are trademarks of their respective owners. Nothing in these Terms grants you any license or right to use any trademark or logo of WSHAsia or any third party, except that you may factually reference the name of an Event or organizer as needed (for example, on your CV you may state you attended “WSHAsia Safety Training on [Date]”). Any goodwill generated from the use of our marks shall inure to the benefit of WSHAsia.
7.3 User-Submitted Content: In some cases, Event participants might have the opportunity to contribute content, such as asking questions during a webinar, participating in forum discussions, or sharing feedback. By submitting any content (text, images, audio, video) during the Event or on our platform, you grant WSHAsia a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, adapt, and publish that content for purposes of the Event and any post-event materials. For example, if you ask a question in a webinar chat, we may include that question and the instructor’s answer in the recorded version or FAQs. You represent that any content you submit does not infringe the rights of any third party (e.g., you will not share proprietary information that you’re not authorized to share).
7.4 Third-Party Intellectual Property: We respect intellectual property rights. If any Event involves the use of third-party content (e.g., a Vendor’s training materials, slides, videos), those remain the property of the Vendor or the original creators. Participants shall not remove or obscure any copyright or trademark notices from materials provided. If WSHAsia or a Vendor uses any third-party copyrighted material under license, that is for the purpose of the Event only and you are not granted further rights to it.
8. Disclaimers of Warranty
8.1 No Warranty for Event Content: All Events and their content are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied. To the fullest extent permitted by law, WSHAsia disclaims all warranties, express or implied, including but not limited to implied warranties of accuracy, quality, suitability, reliability, merchantability, or fitness for a particular purpose with respect to the Events, the training materials, and the WSHAsia platform. We do not warrant that the training content will meet your specific needs or expectations, or that you will achieve any particular result or certification by attending an Event. Any certifications or qualifications referenced are offered by the Vendor or accrediting body, not by WSHAsia itself (unless explicitly stated for WSHAsia’s own courses).
8.2 Website and Technology: WSHAsia does not guarantee that the platform for registration or Event delivery (e.g., our website or webinar hosting service) will be uninterrupted, error-free, or secure. We do not warrant that any technical issues will be corrected or that our site or servers are free of viruses or other harmful components, although we take reasonable steps to maintain security. You are responsible for maintaining your own device and internet security when accessing our services.
8.3 Third-Party Information: From time to time, as part of an Event or on our site, we might provide links or references to third-party websites, resources, or speakers. WSHAsia is not responsible for the content on any external websites or provided by any third-party, and inclusion of such links or references does not imply endorsement. Any third-party advice or opinion expressed in an Event (for example, by a guest speaker or Vendor) is that party’s own and not that of WSHAsia. We make no warranty regarding any information obtained from third parties.
8.4 Advice and Training: Any guidance, best practices, or advice given during an Event (especially on safety, health, or legal compliance topics) is general in nature. It is not tailored to your specific situation and should not be relied upon as professional advice. Always exercise your own judgment and consider consulting a qualified professional for specific advice. WSHAsia does not guarantee any particular outcomes from applying the knowledge gained in any Event.
9. Limitation of Liability
9.1 Exclusion of Certain Damages: To the maximum extent permitted by applicable law, WSHAsia (and its officers, directors, employees, agents, and affiliates) shall not be liable to you or any third party for any indirect, special, incidental, consequential, or punitive damages arising out of or in connection with the Events or these Terms. This exclusion includes, without limitation, any loss of profits, loss of business opportunities, loss of data, cost of substitute services, or other intangible losses, even if we have been advised of the possibility of such damages.
9.2 Cap on Direct Damages: To the extent permitted by law, in any circumstance where WSHAsia is found liable to you, our liability shall be limited to the total fees you paid for the Event in question (or if the claim does not relate to a specific Event, the sum of fees you paid in the past six months), or SGD $500, whichever is lower. If you did not pay any fee (for a free event), WSHAsia’s total liability will be zero. This limitation applies to all causes of action in the aggregate, including but not limited to breach of contract, breach of warranty, negligence, strict liability, misrepresentations, or other torts.
9.3 Personal Injury and Property Damage: WSHAsia is not liable for personal injuries or damage to property that may occur during or as a result of attending an Event, except where required by law. This includes any injuries sustained during practical training sessions, site visits, or use of equipment. Participants attend and participate at their own risk and are responsible for their own insurance as needed. If an Event includes any physical activities, you are responsible for ensuring you are medically fit to participate. We strongly advise you to follow all safety instructions; WSHAsia’s liability for any claims arising from negligence in such contexts (if not lawfully excludable) will in any case be limited as described in this section.
9.4 Third-Party Liability: Because Vendors and venues are independent parties, WSHAsia will not be liable for the acts or omissions of any third-party Vendor, instructor, or venue provider. Any liability in connection with a Vendor’s Event lies with that Vendor under their agreement with you. Similarly, if a venue is negligent (e.g., unsafe premises) any claim should be directed to the venue. WSHAsia may assist you in contacting these parties but will not assume liability for their conduct.
9.5 Force Majeure: WSHAsia will not be liable for any failure or delay in performing our obligations (including hosting an event or providing access to an event) if such failure or delay is due to circumstances beyond our reasonable control, such as acts of God, war, terrorism, pandemic, government restrictions, natural disasters, strikes, technical failures, or disruptions in utilities (“Force Majeure”). In such events, we will make reasonable efforts to resume performance as soon as practicable, or if an Event must be canceled due to force majeure, our cancellation policy (Section 5.1) will apply.
9.6 No Double Recovery: If you are entitled to or receive any remedy (such as a refund) under Section 5 (Cancellation/Refund) or any other provision of these Terms, that remedy shall be your sole and exclusive remedy for the issue in question. You may not recover the same loss under multiple theories of liability or sections of these Terms.
9.7 Jurisdictional Limitations: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. If the laws applicable to your registration deem any part of the exclusions or limitations in this Section 9 invalid, then such exclusion or limitation will not apply to you to the extent of that invalidity. However, all other exclusions, disclaimers, and limitations will still apply. In such cases, WSHAsia’s liability will be limited to the maximum extent permitted by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless WSHAsia and its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in connection with:
(a) your breach of any provision of these Terms;
(b) your violation of any law or regulation or the rights of any third party in connection with your participation in an Event; or
(c) any negligence, willful misconduct, or fraudulent act by you at an Event or in using the WSHAsia platform.
This indemnity includes, for example, claims brought by third parties due to something you did or information you provided (such as if you infringe someone’s copyright by sharing materials you shouldn’t, or if you injure someone at an in-person Event due to reckless behavior). WSHAsia reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. This section survives the conclusion of the Event and/or any termination of your relationship with WSHAsia.
11. Amendments to Terms
WSHAsia may modify or update these Terms and Conditions from time to time. Changes may be made, for example, to accommodate new services, changes in law, or improvements in our practices. When we update the Terms, we will post the revised version on our website with a new “Last Updated” date. For significant changes, we may also provide notice to registered users via email or upon login. Continued use of the WSHAsia platform or attendance at Events after any changes to these Terms are posted constitutes your acceptance of those changes. If you do not agree with a change, you must cease registering for new Events and may consider contacting us regarding your concerns. The current Terms will apply to any dispute or issue that arises between you and us, so we encourage you to review them periodically.
12. Miscellaneous
12.1 Entire Agreement: These Terms, along with any Event-specific rules or guidelines (and the Privacy Policy), constitute the entire agreement between you and WSHAsia regarding your Event registration and participation, and supersede any prior agreements or understandings (whether oral or written) relating to the same subject matter. In the event of a conflict between these general Terms and any specific terms provided for a particular Event (for example, an Event’s rules or a Vendor’s terms on our site), those specific terms will govern to the extent of the conflict.
12.2 Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be deemed severed from the Terms and will not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect. The parties will endeavor in good faith to replace any invalid or unenforceable provision with a valid one that is as close as possible to the original intent.
12.3 No Waiver: WSHAsia’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision by us on one occasion shall not imply a waiver of that provision on any other occasion or a waiver of any other provision.
12.4 Assignment: You may not assign or transfer any of your rights or obligations under these Terms to any third party without our prior written consent, except that a substitute attendee permitted under Section 5.5 is not considered an assignment of this agreement. WSHAsia may assign, transfer, or delegate these Terms (in whole or in part) to an affiliate or in connection with a merger, reorganization, or sale of our business or assets.
12.5 Third-Party Rights: Except for Vendors as expressly stated in these Terms (who may rely on the disclaimers and liability limits as they apply to them), no person or entity who is not a party to this agreement has any right to enforce any term of this agreement.
12.6 Governing Law: This Agreement and any disputes arising from it or your participation in Events shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the Singapore courts for the resolution of any disputes. Notwithstanding the foregoing, WSHAsia retains the right to seek injunctive relief in any jurisdiction as necessary to protect its intellectual property or confidential information.
